The country has a very unique form of government. It is a parliamentary co-principality. However, the princes are not hereditary nor do they even reside in the country. The two princes are the President of France and the Bishop of Urgell who is based in Catalonia in Spain. This unique form of government has allowed Andorra to survive and prosper. The arrangement eliminates any competing claims to the territory by France or Spain as both recognize Andorra’s sovereignty. Citizens of Andorra have a high per capita income, a high life expectancy and a good quality of life.
What legal lessons can be drawn from this example? The first lesson is that not every legal situation is a cookie cutter one. When drafting legal agreements bespoke contract drafting is often necessary in order to reach a workable agreement that everyone can live with. Similarly, there is no “one size fits all” solution to many legal disputes. In short, there is not a form for everything. The best results in such matters are often the product a collaborative effort of a client expressing their needs and an experienced lawyer using his or her experience, innovation and creative thinking in order to deliver a product that meets these needs.
The second lesson that can be drawn from this example is that the art of compromise should not be discounted nor frowned upon. While there are indeed many instances where there are legitimate red lines that a client should not give an inch on, there are also many instances where a stumbling block among parties need not be a deal breaker. Rather the issue just needs to be approached from a different angle. Legal issues are like snowflakes. Each is unique and deserves individual attention and analysis. In contract negotiations there are sometimes deal breaking clauses that prohibit the parties from reaching an agreement. In litigation the parties can be so far apart that expensive litigation and a trial on the disputed issues is necessary. But more often than not common ground can be found by all if one allows innovation and creativity to be part of the conversation. In either scenario it is wise to seek counsel from an attorney who has been to the rodeo before.
